Terms of Service
Last updated: 10 September 2026
1. Introduction
These Terms of Service ("Terms") govern your access to and use of BizBoxed products and services.
BizBoxed ("BizBoxed", "we", "us", "our") provides a business platform and service ecosystem that may include websites, hosting, CRM, bookings, invoicing, MTD, payments, business operations, AI-assisted functionality, automation and related business support services.
By creating a BizBoxed account, subscribing to a BizBoxed service or using a BizBoxed product or service, you agree to these Terms.
If you are using BizBoxed on behalf of a business or other organisation, you confirm that you have authority to accept these Terms on its behalf.
If you do not agree to these Terms, you must not use the relevant BizBoxed service.
These Terms should be read together with our:
- Privacy Policy
- GDPR Compliance Policy
- Cookie Policy
- Sub-Processor Register, where published or made available by BizBoxed
Additional product-specific terms, order information, plan descriptions or service conditions may apply to particular BizBoxed products or services. Where they apply, they form part of the agreement for that product or service.
2. About BizBoxed
BizBoxed provides business software and related services designed to help businesses manage aspects of their online presence and operations.
Depending on the products and plan you use, BizBoxed may provide or support functionality relating to:
- business websites;
- website hosting and maintenance;
- CRM;
- bookings;
- invoicing;
- quotes;
- MTD;
- payments and billing;
- business operations;
- staff or business-user functionality;
- automation;
- AI-assisted functionality;
- customer communications; and
- related business tools and support.
Not every product, feature or integration is included with every subscription.
The products and features available to you depend on your applicable plan, subscription, entitlement or other agreed service arrangement.
3. Website Services
Where your BizBoxed service includes a website, BizBoxed may provide a done-for-you website service rather than a traditional self-service website builder.
Depending on the applicable plan, this may include:
- a professionally designed website;
- hosting;
- security and ongoing technical updates;
- onboarding;
- content population based on information you provide;
- ongoing maintenance;
- access to relevant BizBoxed dashboard functionality; and
- optional products or integrations included in or added to your plan.
Your website may be created and maintained using BizBoxed's platform, components, templates and underlying systems.
Unless expressly included in your applicable service, you do not receive direct access to BizBoxed's underlying source code, hosting environment or internal platform infrastructure.
4. Services Not Automatically Included
Unless expressly stated as part of your plan or agreed service, BizBoxed does not provide:
- guaranteed SEO rankings;
- guaranteed website traffic;
- guaranteed leads, sales or business results;
- legal advice;
- financial advice;
- tax advice;
- regulatory or compliance advice;
- unlimited custom development;
- bespoke integrations;
- domain registration or transfer;
- email hosting; or
- any product, feature or service not included in the applicable plan.
Some BizBoxed products may help you organise information or complete business processes relating to subjects such as invoicing, tax, MTD, payroll, CIS or other operational matters.
Such functionality is a software or administrative tool and does not, by itself, constitute professional legal, accounting, tax or financial advice.
You remain responsible for obtaining professional advice where appropriate for your business.
5. Your Account
Some BizBoxed services require an account.
You are responsible for:
- providing accurate account information;
- keeping your information reasonably up to date;
- maintaining appropriate security over your access;
- using authentication features responsibly;
- ensuring that people using your account or business access are appropriately authorised; and
- notifying BizBoxed if you reasonably believe your account has been compromised.
You must not:
- impersonate another person;
- obtain unauthorised access to another user's account;
- share access in a way that circumvents applicable account, user or subscription restrictions;
- attempt to bypass authentication, permissions or product entitlements; or
- interfere with account-security mechanisms.
Authentication and account-management services may be provided using specialist service providers as described in our Privacy Policy and GDPR Compliance Policy.
6. Business Users and Authorised Access
Some BizBoxed products may allow a business to provide access to staff, team members or other authorised users.
The business is responsible for:
- deciding who should have access;
- assigning access appropriately;
- ensuring authorised users use BizBoxed lawfully;
- reviewing access when responsibilities change; and
- removing access when it is no longer required.
Where a user acts on behalf of a business through an authorised BizBoxed account, actions performed through that authorised access may be treated as actions of that business where appropriate.
BizBoxed may use roles, permissions and other access controls to restrict functionality.
The existence of a technical permission does not authorise a user to access information where the business has not lawfully authorised that access.
7. Your Responsibilities
You agree to:
- provide information reasonably required to deliver the services you use;
- provide accurate information where accuracy is necessary for the service;
- supply required content, files or business information;
- respond to reasonable requests for information where needed to provide a service;
- keep relevant contact information up to date;
- ensure that you have the necessary rights to information and content you provide;
- configure and use BizBoxed appropriately for your business;
- comply with applicable laws and regulations; and
- use BizBoxed in accordance with these Terms.
You are responsible for business decisions made using information or functionality provided through BizBoxed.
You are also responsible for reviewing information produced or processed through BizBoxed where accuracy is important to your business, customers, tax position, finances or regulatory obligations.
8. Subscriptions, Billing and Cancellation
BizBoxed is a subscription service.
Unless a different arrangement is expressly stated for a particular product or plan:
- subscription prices are shown through the applicable BizBoxed website, signup or purchase process;
- your subscription begins when you complete the applicable signup or activation process;
- subscriptions are billed monthly;
- subscriptions renew automatically each month;
- you may cancel at any time;
- cancellation prevents future renewal charges after the applicable paid billing period;
- cancellation does not ordinarily refund charges already paid for a billing period;
- access to the relevant paid service may continue until the end of the applicable paid billing period; and
- paid services may be disabled or withdrawn when the applicable subscription ends.
Where cancellation affects a BizBoxed-hosted website, the website may be taken offline after the applicable paid service period ends.
Where cancellation affects another BizBoxed product, access to paid functionality may end when the applicable subscription period expires.
Cancellation of one product does not necessarily cancel another separately subscribed BizBoxed product.
Any product-specific billing terms displayed during purchase form part of the applicable subscription arrangement.
9. Pricing Changes
BizBoxed may change prices from time to time.
Where a pricing change affects an existing paid subscription, we will provide advance notice before the new price applies where required by the applicable agreement or law.
If you do not wish to continue at the new price, you may cancel the affected subscription before the new price takes effect.
A pricing change does not entitle BizBoxed to retrospectively alter charges for a billing period that has already been paid.
10. Payments
Payments may be processed through third-party payment providers.
You agree to provide valid payment information where payment is required and authorise applicable recurring charges associated with your subscription.
Payment providers may apply their own terms and privacy arrangements to their services.
If a payment fails, BizBoxed may:
- request updated payment information;
- retry payment where supported by the applicable payment process;
- restrict affected paid functionality; or
- suspend or terminate the affected subscription where payment remains outstanding.
BizBoxed does not guarantee the availability of a particular third-party payment method.
11. Domains
Where you already have a domain name, BizBoxed may help connect it to your BizBoxed website.
Where you do not have a domain, BizBoxed may suggest available options or provide guidance.
Unless your applicable service expressly states otherwise, you are responsible for:
- registering your domain;
- maintaining ownership and control of it;
- renewing it;
- paying applicable registrar charges; and
- providing or maintaining any DNS access required for the service.
BizBoxed is not responsible for the loss of a domain, domain expiry or interruption caused by a registrar, registry, DNS provider or your failure to renew or maintain the domain, except to the extent directly caused by BizBoxed's own breach of an agreed responsibility.
12. Your Content and Intellectual Property
You retain ownership of content and materials that you provide to BizBoxed, including where applicable:
- logos;
- photographs;
- text;
- brand assets;
- documents;
- business information; and
- other original materials owned by you.
You grant BizBoxed a non-exclusive licence to host, copy, process, display, modify where necessary, transmit and otherwise use that content to the extent reasonably required to:
- provide your services;
- operate your website;
- provide requested functionality;
- support your account; and
- perform our obligations under these Terms.
This licence continues for as long as reasonably necessary to provide the relevant service and deal with applicable retention, backup or legal requirements.
You confirm that you have the rights and permissions required for content you provide to BizBoxed.
13. BizBoxed Intellectual Property
BizBoxed retains ownership of its platform and intellectual property, including where applicable:
- underlying source code;
- software;
- platform architecture;
- reusable website designs;
- components;
- templates;
- systems;
- workflows;
- tools;
- product functionality;
- documentation created by BizBoxed;
- and other BizBoxed intellectual property.
Where a BizBoxed website or other service uses BizBoxed-owned technology or materials, your subscription gives you a limited, non-exclusive right to use the relevant service for the duration of the applicable subscription.
Unless expressly agreed otherwise, purchasing or subscribing to a BizBoxed service does not transfer ownership of the underlying BizBoxed platform, code, templates, components or reusable technology to you.
Nothing in these Terms prevents BizBoxed from using its general skills, experience, ideas, reusable components, systems or know-how to provide services to other customers, provided we do not improperly disclose your confidential information or content.
14. Uploaded Files
Where a BizBoxed feature allows files to be uploaded, you confirm that:
- you have the right to upload and use them;
- their use through BizBoxed does not unlawfully infringe third-party rights;
- they do not contain malicious code or content intended to damage or compromise the service; and
- you will not knowingly upload unlawful content.
Uploaded files may be processed and stored as necessary to provide the relevant service.
Our handling of personal information contained in files is described in our Privacy Policy and GDPR Compliance Policy.
15. Customer Data
Some BizBoxed products allow you to collect, enter, store or process information relating to your own customers, staff, suppliers, contacts or other individuals.
You are responsible for ensuring that:
- you are entitled to collect and use that information;
- you have an appropriate lawful basis where personal data is involved;
- appropriate privacy information is provided to affected individuals;
- marketing and cookie requirements are met where applicable;
- the information you collect is appropriate for your purpose;
- access is restricted appropriately; and
- your use of the information complies with applicable law.
Where BizBoxed processes such personal data on your behalf as Data Processor, the Data Processing Agreement contained in our GDPR Compliance Policy applies unless a separate DPA has been agreed.
The Privacy Policy explains processing for which BizBoxed acts as Data Controller.
16. Privacy and Data Protection
BizBoxed processes personal information in accordance with its applicable data-protection obligations.
Details about:
- information we process;
- purposes of processing;
- authentication;
- service providers;
- international transfers;
- retention;
- data-subject rights;
- security; and
- other privacy matters
are set out in our Privacy Policy.
Our GDPR Compliance Policy provides additional information about BizBoxed's controller and processor roles, compliance framework, security measures and standard Data Processing Agreement.
Our Cookie Policy explains our use of cookies, local storage and similar technologies.
Where relevant, further provider information is available through the BizBoxed Sub-Processor Register.
17. Acceptable Use
You must not use BizBoxed to:
- break applicable law;
- commit or facilitate fraud;
- impersonate another person unlawfully;
- infringe intellectual-property rights;
- distribute malware or malicious code;
- attempt unauthorised access to systems, accounts or information;
- bypass security, authentication, permissions or product restrictions;
- interfere with the normal operation of BizBoxed;
- knowingly overload or disrupt the service;
- use the service to distribute unlawful or harmful content;
- process information in a way that you know is unlawful;
- mislead others through fraudulent content or activity; or
- use BizBoxed in a way that materially harms the platform, its users or third parties.
BizBoxed may investigate suspected misuse.
Where reasonably necessary to protect users, systems, legal compliance or the integrity of the service, we may restrict or suspend affected functionality while an issue is investigated.
18. Third-Party Services and Integrations
BizBoxed relies on third-party services to provide parts of its platform and may also support optional integrations selected by customers.
These may include providers relating to:
- authentication;
- hosting;
- cloud infrastructure;
- data storage;
- payments;
- email;
- communications;
- analytics;
- AI;
- booking;
- CRM;
- automation; and
- other business functionality.
Some providers act on BizBoxed's behalf.
Other integrations may be independent services chosen by you and subject to their own contracts, terms and privacy policies.
BizBoxed does not control independent third-party services and cannot guarantee their continued availability, functionality, pricing or performance.
If an external provider changes or discontinues a service, BizBoxed may need to modify, replace or discontinue the affected integration or functionality.
Where personal information is involved, see our Privacy Policy, GDPR Compliance Policy and Sub-Processor Register where applicable.
19. AI-Assisted Functionality
Some BizBoxed products or workflows may include artificial intelligence or AI-assisted functionality.
AI functionality may assist with tasks such as generating suggestions, analysing supplied information, supporting workflows or helping users interact with BizBoxed features.
AI-generated or AI-assisted output may be incomplete, inaccurate or unsuitable for a particular purpose.
You are responsible for reviewing output before relying on it for important business decisions.
You must not treat AI-generated output as a substitute for professional legal, tax, accounting, financial, medical or other regulated professional advice.
Where AI functionality processes personal information, our Privacy Policy and GDPR Compliance Policy apply.
20. Service Availability
BizBoxed aims to provide a reliable service, but uninterrupted or error-free availability is not guaranteed.
Availability may be affected by:
- planned maintenance;
- emergency maintenance;
- software faults;
- internet or network failures;
- third-party service outages;
- security incidents;
- external attacks;
- infrastructure failures;
- events outside our reasonable control; or
- changes made by external providers.
We may temporarily restrict access where reasonably necessary to maintain, repair, secure or protect the service.
Nothing in these Terms creates a guaranteed service level or uptime commitment unless a separate written agreement expressly provides one.
21. Backups and Data Availability
BizBoxed may maintain backups or recovery arrangements for relevant systems, but backups are intended primarily for service resilience and disaster recovery.
Unless expressly stated otherwise for a particular product, backups are not a customer-controlled archival service and should not be relied upon as the sole copy of information that you are independently required to retain.
You remain responsible for maintaining copies of business information where you have a legal, regulatory or operational requirement to preserve that information independently.
22. Changes to BizBoxed Services
BizBoxed may develop, update or modify its services over time.
Changes may include:
- new features;
- user-interface improvements;
- security improvements;
- performance changes;
- technical changes;
- integration changes;
- replacement of third-party providers; and
- changes required by law or regulation.
We may also discontinue functionality where it is no longer viable, secure, supported or appropriate to maintain.
Where a material change significantly affects a paid service or core functionality included in an existing subscription, we will provide appropriate notice where reasonably practicable or legally required.
Nothing in this section prevents us from making urgent security, legal or operational changes without advance notice where advance notice would be impractical or inappropriate.
23. Suspension
BizBoxed may suspend all or part of an account or service where reasonably necessary because:
- payment is overdue;
- these Terms have been materially breached;
- the service is being used unlawfully;
- the account or service presents a security risk;
- use threatens the operation or integrity of BizBoxed;
- suspension is required by law; or
- immediate action is reasonably necessary to protect BizBoxed, a customer, another user or a third party.
Where appropriate, we will seek to give notice and an opportunity to resolve the issue.
Immediate suspension may be necessary in urgent security, fraud, legal or abuse circumstances.
24. Termination
You may terminate your paid subscription by cancelling it in accordance with Section 8.
BizBoxed may terminate an account or affected service where:
- you materially breach these Terms and, where the breach can reasonably be remedied, fail to remedy it after appropriate notice;
- you use BizBoxed unlawfully;
- you fail to pay applicable charges;
- you materially misuse the platform;
- continued provision would create a material security or legal risk; or
- we are legally required to terminate the service.
Where a website service terminates, the website may be taken offline and your right to use BizBoxed-owned platform materials for that service ends.
Where another paid BizBoxed product terminates, access to the relevant functionality may end.
Termination does not affect rights, obligations or liabilities that arose before termination.
Provisions that by their nature are intended to continue after termination, including provisions concerning intellectual property, liability, confidentiality where applicable, payment obligations and data-protection responsibilities, continue to the extent appropriate.
25. Data Following Termination
The treatment of personal information following termination is governed by our Privacy Policy and, where BizBoxed acts as Data Processor, the Data Processing Agreement in our GDPR Compliance Policy.
Termination does not necessarily result in immediate deletion of all information.
Certain information may be retained where reasonably necessary for:
- legal obligations;
- tax or accounting requirements;
- security;
- fraud prevention;
- audit purposes;
- dispute resolution;
- establishment or defence of legal claims;
- backup lifecycle requirements; or
- another applicable lawful purpose.
Customers should retrieve information they need before service access ends where export or retrieval functionality is available.
26. Confidentiality
In providing BizBoxed, either party may receive non-public information belonging to the other.
Each party should take reasonable steps to protect confidential information received through the business relationship and should use it only for the purpose for which it was provided, except where:
- disclosure is authorised;
- disclosure is required by law;
- the information is already lawfully public;
- the receiving party already lawfully possessed it without confidentiality restrictions; or
- the information was independently developed without use of the confidential information.
This section does not alter any more specific data-protection obligations applying to personal data.
27. Disclaimers
BizBoxed will provide its services with reasonable care consistent with the applicable service arrangement.
However, to the extent permitted by law, we do not guarantee that:
- the service will always be uninterrupted;
- every feature will always be error-free;
- every third-party integration will remain available;
- a website will achieve a particular search ranking;
- use of BizBoxed will generate a particular level of revenue, leads or business;
- information generated by automated or AI-assisted functionality will always be complete or accurate; or
- BizBoxed functionality alone will satisfy every legal, regulatory, tax, accounting or industry-specific requirement applicable to your business.
You remain responsible for your business decisions and for obtaining professional advice where appropriate.
Nothing in these Terms excludes warranties, rights or remedies that cannot lawfully be excluded.
28. Limitation of Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so.
In particular, nothing in these Terms is intended to exclude or limit liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- any other liability that cannot lawfully be excluded or limited.
Subject to those exceptions and to the fullest extent permitted by law, BizBoxed will not be liable for indirect or consequential loss arising from use of the service.
BizBoxed is not responsible for loss resulting from:
- inaccurate or unlawful information supplied by you;
- your failure to provide information reasonably required to deliver a service;
- your failure to maintain domain registration or other services for which you are responsible;
- misuse of your account;
- unauthorised activity caused by your failure to take reasonable account-security precautions;
- an independent third-party service outside BizBoxed's reasonable control; or
- events outside BizBoxed's reasonable control,
except to the extent the relevant loss was caused by BizBoxed's own breach or where liability cannot lawfully be excluded.
Nothing in these Terms affects any statutory rights that apply and cannot lawfully be excluded.
29. Events Outside Our Reasonable Control
BizBoxed will not be responsible for delay or failure to perform an obligation where caused by circumstances outside our reasonable control.
These may include:
- internet or telecommunications failures;
- major cloud or infrastructure outages;
- cyberattacks;
- natural disasters;
- fire or flood;
- government action;
- widespread utility failure;
- industrial disputes;
- failures of critical third-party infrastructure; or
- other comparable events beyond our reasonable control.
We will take reasonable steps to reduce the impact where practicable.
30. Changes to These Terms
We may update these Terms to reflect:
- changes to BizBoxed services;
- new products or functionality;
- legal or regulatory requirements;
- security requirements;
- changes to third-party dependencies;
- operational changes; or
- improvements to the contractual framework.
The current version will be published with its revision date.
Where a change materially affects an existing customer's rights or obligations, we will provide appropriate notice where required.
Changes will apply from the stated effective date.
Continuing to use an affected service after updated Terms have taken effect may constitute acceptance of the updated Terms where permitted by applicable law.
31. Transfer of Rights and Obligations
You may not transfer your rights or obligations under these Terms to another person or organisation without BizBoxed's agreement where the transfer would affect the provision or administration of the service.
BizBoxed may transfer its rights or obligations as part of a business restructuring, sale, acquisition or transfer of the relevant business, provided this does not reduce rights that cannot lawfully be reduced.
32. Severability
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified to the minimum extent necessary or, where modification is not possible, removed.
The remaining provisions will continue to apply.
33. No Waiver
If BizBoxed does not immediately enforce a right under these Terms, that does not mean the right has been waived.
A waiver relating to one breach or circumstance does not automatically apply to another.
34. Entire Agreement
These Terms, together with any applicable product-specific terms, order or subscription information and documents expressly incorporated into the agreement, form the agreement governing the relevant BizBoxed service.
Nothing in this section excludes liability for fraud or fraudulent misrepresentation.
35. Governing Law
These Terms and any dispute or claim arising from them are governed by the laws of Scotland, except where mandatory law requires otherwise.
The courts of Scotland will have jurisdiction over disputes arising from these Terms, except where applicable mandatory law provides another right of jurisdiction.
